Recommendation
Proceed with selection of a process to fill one vacancy for a City Nominee to the San Pablo Economic Development Corporation Board of Directors (SPEDC Board), by minute action, as follows:
1. Proceed with selection of one Councilmember, made by motion and approved by majority vote via minute action, and submit the nominated appointee to the SPEDC Board for approval by the required deadline; OR
2. Proceed with City Council authorization, by minute action, of a public advertisement of available vacancy, with formal selection by majority vote via City Council Resolution, to occur on February 18, 2020, and submit the nominated appointee to the SPEDC Board for approval by the required deadline.

BACKGROUND
The City of San Pablo has two City appointees who actively serve with two-year staggered terms on the San Pablo Economic Development Corporation Board of Directors.
City Appointees
Currently, Councilmember Rich Kinney is serving a two-year term appointed by the City Council and approved by the SPEDC Board for period February 2019 - January 2021. Additionally, Ms. Genoveva Garcia Calloway, a public member, is serving as the other City appointee, and is scheduled to complete her third and final term at the end of January 2020. Ms. Calloway is not eligible for appointment reconsideration by the City Council pursuant to SPEDC adopted by-laws Article II, Section C, subpart 1 (See Attachment).
SPEDC Board Vacancy
SPEDC Executive Director Leslay Choy notified the City Manager via e-correspondence dated January 15, 2020 of a forthcoming City appointee vacancy on the SPEDC Board as of the end of January 2020 and outlined the formal procedure for the City to make a nomination of a new City appointee for subsequent SPEDC Board approval on February 19, 2020 in accordance with the adopted SPEDC By-Laws (see Attachment).
The proposed term of the SPEDC Board vacancy is for a two-year staggered term (2020-2022) from February 2020, and ending on the first meeting or annual meeting of the year for the SPEDC Board in January 2022. (Note: SPEDC correspondence dated 01/15/20 has a typo error on the end of this term date).
A deadline of February 12, 2020 is required for the City Council to nominate and select a City appointee to be submitted for approval by the SPEDC Board at their annual meeting on February 19, 2020 pursuant to adopted SPEDC By-laws (Article II, Section B, subpart 3) (see Attachment).
City Council Discussion and Direction
The City Manager recommends the City Council discuss and approve, by majority vote via minute action, one of the following recommendations to proceed with nomination of a City appointee to fill the one vacancy for the City on the SPEDC Board, as follows:
Option #1: (BY MINUTE ORDER)
Proceed with selection of one Councilmember, made by one motion and approved by majority vote via minute action, and submit the nominated appointee to the SPEDC Board for approval by the required deadline; OR
Option #2: (BY MINUTE ORDER)
Proceed with City Council authorization, by minute action, of a public advertisement of available vacancy, with formal selection by majority vote via City Council Resolution, to occur on February 18, 2020 by the City Council, and submit the nominated appointee to the SPEDC Board for approval.
Advertisement of SPEDC Board Vacancy
If the City Council decides by majority vote to proceed with Option #2, then City staff would post the vacancy announcement on February 3, 2020 immediately following the City Council meeting, and close the application period at 12 noon on February 13, 2020.
The proposed 10-day application timeline enables City staff to assemble and process all interested applicant information to meet the City’s internal agenda planning deadline for the February 18, 2020 regular City Council meeting for formal consideration and adoption of a City nominated appointee by Resolution. A DRAFT vacancy advertisement notice has been prepared and attached for City Council review (see Attachment).
